Article 1 — Applicability
These terms and conditions apply to all quotes, offers, work and agreements between Qdashboards (Dutch Chamber of Commerce/KVK: 67942792, hereinafter "Qdashboards") and the client, unless the parties have expressly agreed otherwise in writing. Any purchasing or other conditions of the client are expressly rejected.
Article 2 — Quotes and formation of the agreement
All quotes from Qdashboards are non-binding and valid for 30 days, unless stated otherwise. An agreement is formed the moment the client accepts a quote in writing (including by email), or as soon as Qdashboards starts work on the client's instruction.
Article 3 — Services
Qdashboards offers, among others, the following services: Excel Scan, Excel to Power BI, Power BI Support, Power BI Consultancy, data connections and Power BI Training (see our services for a current overview). Excel Scan, Excel to Power BI, data connections and Power BI Training are generally provided as a one-off assignment with an agreed outcome. Power BI Support is an ongoing service; Power BI Consultancy is billed hourly.
Article 4 — Performance
Qdashboards performs the agreement to the best of its knowledge and ability. All services are performed on a best-efforts basis, unless and to the extent Qdashboards has expressly committed to a specific, sufficiently defined result in the agreement. Stated timelines are indicative and do not constitute a strict deadline, unless expressly agreed otherwise.
Article 5 — Client cooperation
The client will provide, in good time, all data, files, access to systems and data sources, and other information reasonably required to carry out the assignment. Delays or additional costs resulting from a lack of such cooperation are for the client's account.
Article 6 — Prices and payment
All prices are in euros and exclusive of VAT, unless stated otherwise. Invoices must be paid within 30 days of the invoice date. If this term is exceeded, the client is automatically in default and Qdashboards is entitled to charge statutory commercial interest and reasonable collection costs. Qdashboards may suspend work until outstanding invoices have been paid.
Article 7 — Term and termination (Power BI Support)
Power BI Support agreements are entered into for an indefinite period and may be terminated monthly with one month's notice, unless a different term has been agreed in writing. Termination must be made in writing (including by email to info@qdashboards.nl).
Article 8 — Changes and additional work
Changes to an assignment already given, requested by the client, may result in additional work and costs. Qdashboards will inform the client of this in advance and will only carry out additional work after the client's approval, except for work of minor scope.
Article 9 — Intellectual property
All intellectual property rights in the dashboards, reports, models, documentation and other materials developed by Qdashboards belong to Qdashboards, unless agreed otherwise in writing. Upon full payment, the client obtains a non-exclusive, non-transferable right of use for its own business operations. Underlying source code, templates and methodologies of Qdashboards remain the property of Qdashboards at all times and may not be made available to third parties without permission.
Article 10 — Confidentiality
Both parties will treat all confidential information received from each other under the agreement as confidential and will not share it with third parties, unless necessary for performance of the agreement or required by law.
Article 11 — Liability
Qdashboards' liability for damage arising from or related to the performance of an agreement is limited to the amount paid out under Qdashboards' liability insurance in the relevant case. If, for whatever reason, no payment is made under that insurance, liability is limited to the invoice amount for the assignment over the six months preceding the event giving rise to the damage. Qdashboards is never liable for indirect damage, including consequential loss, loss of profit, missed savings and damage due to business interruption. This limitation does not apply in cases of intent or deliberate recklessness on the part of Qdashboards.
Article 12 — Force majeure
Qdashboards is not obliged to fulfil any obligation if prevented from doing so by force majeure. Force majeure includes, among other things: outages at (cloud) providers such as Microsoft, internet or power outages, illness, and other circumstances reasonably beyond Qdashboards' control.
Article 13 — Complaints
Complaints about work performed must be reported in writing as soon as possible, and no later than within 14 days of discovery, to info@qdashboards.nl. Filing a complaint does not suspend the client's payment obligation.
Article 14 — Governing law and disputes
Dutch law applies to all agreements between Qdashboards and the client. Disputes will be submitted to the competent court in the district where Qdashboards is established, unless mandatory law provides otherwise.
Article 15 — Changes
